vCOLUMNA Photography LLC – Terms of Service

1. Copyright and Ownership
All photographs, videos, floor plans, virtual staging, and other digital media created by vCOLUMNA Photography LLC ("Media") are protected under U.S. copyright law.
vCOLUMNA Photography LLC retains full copyright ownership of all Media. No ownership rights are transferred to the Client at any time.
All usage rights granted under these Terms are licensed rights only.
2. License Grant
Upon full payment, the Client is granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the delivered Media strictly in accordance with the terms below.
This license does not constitute a transfer of ownership.
3. Real Estate Listings License (MLS / Sales / Marketing)
Upon full payment, the Client is granted a perpetual, non-exclusive, non-transferable, and non-sublicensable license to use the Media for:
* Marketing the photographed property while the Client represents the listing.
* Promoting the Client's real estate business, brokerage, team, or professional services, including websites, social media, printed marketing materials, listing presentations, and portfolios.
* Showcasing the Media as examples of the Client's past work or completed transactions.
This license is personal to the Client who purchased the services.
If the property listing is transferred, withdrawn, expires, or is reassigned to another real estate agent, brokerage, builder, marketing company, homeowner, or any other third party, the license does not transfer.
No other party may use the Media without first obtaining a separate written license from vCOLUMNA Photography LLC.
3A. Commercial Real Estate License
Commercial real estate photography is licensed differently than residential real estate photography due to its broader business and marketing applications.
Upon full payment, vCOLUMNA Photography LLC grants the Client a perpetual, non-exclusive, non-transferable, and non-sublicensable license to use the Media in connection with the ownership, leasing, operation, management, marketing, and promotion of the specific commercial property photographed.
Permitted uses include, but are not limited to:
* Commercial listing platforms (including LoopNet, Crexi, and similar services)
* Brokerage and corporate websites
* Leasing and investment marketing
* Offering memorandums
* Investor presentations
* Property management materials
* Printed brochures
* Corporate social media
* Digital advertising campaigns
* Press releases and public relations materials
* Tenant recruitment and occupancy marketing
* Business development and promotional materials related to the property
Unlike residential listing licenses, this commercial license permits the Client to continue using the Media for the ongoing operation and promotion of the commercial asset beyond an active listing, provided ownership or authorized management of the property remains with the Client.
This license is granted solely to the Client who purchased the services.
The Media may not be transferred, assigned, sub-licensed, or shared with another owner, broker, management company, marketing agency, architect, contractor, tenant, or any other third party without prior written authorization from vCOLUMNA Photography LLC.
If ownership or management of the property changes, this license automatically terminates for the transferring party. The successor owner or organization must obtain a new license before using the Media.
Commercial photography pricing reflects the broader commercial licensing rights granted under this section in addition to the complexity, production requirements, and long-term business value associated with commercial properties.
4. Short-Term and Long-Term Rental License (Airbnb / VRBO / Leasing)
When the Client is the property owner or authorized manager and commissions Media specifically for rental marketing purposes, including short-term rentals (Airbnb, VRBO) or long-term rental listings, the following applies:
The Client is granted a perpetual, non-exclusive, non-transferable license to use the Media exclusively for marketing that specific property as a rental.
The license remains valid only for that property in its original ownership context.
If the property is sold or transferred to a new owner, the license immediately terminates.
The new owner must obtain a separate license from vCOLUMNA Photography LLC to continue using the Media.
5. Headshots and Personal Branding License
Clients purchasing headshot or personal branding services are granted a perpetual, non-exclusive, non-transferable license to use the Media for personal and professional self-promotion, including:
- Websites and portfolios
- Social media profiles
- Business marketing and advertising
- Resumes, speaking engagements, and professional materials
- Commercial resale, sub licensing, or redistribution of images is strictly prohibited.
6. Payment Terms
Payment is due in full on the day of the scheduled shoot unless otherwise agreed in writing.
Final edited Media will not be delivered until full payment has been received.
7. Image Editing and Alteration Restrictions
Clients may crop images only for formatting purposes required by MLS, social media platforms, or print layouts.
Clients may not:
- Apply filters, presets, or color grading
- Alter exposure or composition
- Remove or add objects
- Use AI tools to modify, generate, or reinterpret images
- Otherwise materially alter the Media
Any modifications beyond cropping require prior written permission from vCOLUMNA Photography LLC.
8. Portfolio and Marketing Rights
vCOLUMNA Photography LLC reserves the right to use any created Media for portfolio display, website use, social media, advertising, competitions, and promotional purposes unless otherwise agreed in writing prior to the shoot.
9. Gallery Delivery and Access
Online galleries remain available for three (3) months from the date of delivery.
Clients are responsible for downloading and securely backing up all files before expiration.
10. File Archiving
While vCOLUMNA Photography LLC may retain archived copies of Media, long-term storage is not guaranteed.
Clients are solely responsible for maintaining their own backups.
11. Virtual Staging and Digital Enhancements
Any virtual staging, object removal, sky replacement, twilight conversion, or other digital enhancement is provided for marketing purposes only.
The Client is responsible for complying with MLS rules and all applicable disclosure requirements for edited or enhanced imagery.
12. Floor Plan Disclaimer
Floor plans and measurements are approximate and provided for marketing purposes only.
They are not guaranteed for accuracy and should not be used for legal, appraisal, construction, or financial decision-making without independent verification.
13. Cancellation and Rescheduling
Cancellations or rescheduling with more than 24 hours’ notice: no fee.
Cancellations or rescheduling with less than 24 hours’ notice: may incur a fee.
If the property is not ready upon arrival, a trip fee or rescheduling fee may apply.
Weather-related exterior limitations will be rescheduled at no charge.
14. Limitation of Liability
Liability of vCOLUMNA Photography LLC for any claim arising from services provided is strictly limited to the amount paid for the specific session.
vCOLUMNA Photography LLC shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or business opportunities.
15. Social Media Credit
Credit is appreciated but not required when Media is shared on social platforms.
16. Governing Law
These Terms of Service are governed by the laws of the Commonwealth of Pennsylvania.
By booking a session, submitting payment, or downloading delivered Media, the Client acknowledges acceptance of these Terms.
